On 6 December 2024, Ninety One Fund Managers UK Limited issued a circular to shareholders in the UK Smaller Companies Fund, together with a notice of an EGM regarding the proposed merger of the UK Smaller Companies Fund into the UK Special Situation Fund. This merger was approved by shareholders at the EGM held on 15 January 2025.
· Dealings in the UK Smaller Companies will cease after the last VP at 12 noon on 6 March 2025.
· The final accounting period for the UK Smaller Companies ends at 12 noon on 6 March 2025, and the fund is XD at this point (investors on the register at this time will qualify for any available income distribution). The merger takes place after the fund is ‘XD’ at 12.01 pm on 7 March 2025.
· Dealings in the shares allocated as a result of the merger in the UK Special Situation Fund will commence on 10 March 2025.
No contract notes will be sent confirming the merger transactions, but a confirmation letter will be sent to shareholders within twenty-one days of the merger and details of the number of shares which were held in the UK Smaller Companies Fund together with the number of new shares allocated in the UK Special Situation Fund will be available to view via the Secure Distributor Portal from 10 March 2025. IMPORTANT NOTE: For investors who hold the accumulation share class type, any available income will be accumulated within the UK Special Situation Fund and reflected in the value of those shares. This value, including any income, will be used to calculate the number of shares issued to you in the UK Special Situation Fund. Tax vouchers, if applicable, will also be sent to investors in both the accumulation and income share classes by 30 April 2025.
